FIRSTBANK NW

Firstbank NW is a Delaware corporation organized in March 1997 at the direction of the Bank for the purpose of serving as the holding company of the Bank upon consummation of the Stock Conversion. The Holding Company has not engaged in any significant business to date. The Holding Company has received the approval of the OTS to become a savings and loan holding company and to acquire 100% of the capital stock of the Bank. The Holding Company intends to apply for approval of the Board of Governors of the Federal Reserve System ("Federal Reserve") to become a bank holding company under the BHCA through the continued ownership of the Bank following the Charter Conversion.
