Some quick thoughts on what a change in administration may mean for SEC enforcement for asset managers. First, enforcement related to asset managers is likely to continue to constitute a significant portion of the SEC’s enforcement docket. During the last republican administration, investment adviser/investment company issues made up roughly a quarter of enforcement actions. That percentage has stayed basically the same across administrations and seems likely to continue. Second, while enforcement activity is likely to continue, the focus of that activity may shift. In the last republican administration, enforcement focused on retail issues like SMA conflicts and fee disclosures. We could see a returned interest in these kinds of issues and less focus on advisers to private funds. Third, enforcement may prioritize matters with investor harm that result in the return of money to investors. Over the last several years, enforcement has brought more penalty-only cases that did not involve direct investor harm (e.g., off-channel communications). In the last republican administration, the focus on getting money back to harmed investors was highlighted in annual Enforcement Division reports disclosing the amount returned. All this of course remains to be seen, but there is a potential for a significant reordering of SEC enforcement priorities for asset managers.

Some insight into the lens the FCA is using for the imminent multi-firm review of private market valuations in FCA Chair, Ashley Alder's recent speech. "Harms can occur due to inherent conflicts, with the potential for incentives to adversely affect approaches to valuations. While values are ultimately crystallised on exit, there is the potential for inflated values to support borrowing, avoid covenant breaches, and support fund performance and therefore fundraising. Where liquidity is provided to investors this can also result in unfair redemption prices.
