At Ernst & Young I was involved in tax restructuring Health Care systems and transitioned into international banking transactions. I then went on to Deloitte where I was in the national capital markets tax team where the focus was on tax transactional structures for large multinational companies. Thereafter, at Bear Stearns I was one of 3 US tax attorneys to support operations. This included purely from a corporate supportive role to the various lines of business. I managed and supported inte... rnal activities: acquisitions of corporate tax credits, tax analysis and support for corporate mergers and acquisitions, monitor and maintain compliance for specific income timing tax status trades for Bear Stearns, and monitor the overall corporate structure (Bear consisted of over 189 separate entities). With respect to the various divisions, I reviewed and monitored the business units structures/transactions for sale to third parties to confirm the activities were neither a listed transaction or prohibited transaction. Although I ventured into developing an elder law practice, I have been heavily involved in reviewing tax returns for small corporations $2mm-$9mm. I review the return as a courtesy to my debt restructuring company. I can easily determine the veracity of the contents - meaning that a perusal can provide the income / expense correlation and whether the net income is accurate. Since starting the business with law school classmates, I decided to develop more specifically the tax solutions service as it relates to small corporations having outstanding tax liabilities and negotiate the timing for payment of these outstanding balances. In doing this, I have the opportunity to review the tax period in question and review to confirm the revenue/expenses warrant the tax liability provided on the return.More
